Terms of Service

These terms govern your use of our website and services. We've written them to be clear and fair. If anything is unclear, reach out and we're happy to explain.
1. Agreement to Terms
By accessing our website or engaging LiftFlows for services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services. These Terms apply to all visitors, clients, and others who access or use our services.
2. Services
LiftFlows provides automation strategy, AI agent implementation, workflow design, and operational consulting services ("Services") to business clients. The specific scope, deliverables, timeline, and pricing for each engagement are set out in a separate Statement of Work ("SOW") or project proposal agreed upon in writing between LiftFlows and the client. Nothing in these Terms obligates LiftFlows to provide any service not explicitly agreed upon in a signed SOW or proposal.
3. Client Responsibilities
As a client, you agree to: • Provide accurate, complete, and timely information required for us to deliver the Services • Designate a point of contact with authority to make decisions on your behalf • Provide reasonable access to systems, tools, and personnel necessary for project delivery • Review and provide feedback on deliverables within agreed timelines • Ensure all information shared with us does not infringe on any third-party rights Delays caused by failure to meet these responsibilities may affect timelines and are not the liability of LiftFlows.
4. Payment Terms
Payment terms, rates, and schedules are specified in individual project proposals or SOWs. Unless otherwise agreed in writing: • Invoices are due within 14 days of issuance • Late payments may incur interest at 1.5% per month on the outstanding balance • LiftFlows reserves the right to pause work on any project with outstanding overdue invoices • All fees are exclusive of applicable taxes unless stated otherwise
5. Intellectual Property
Upon receipt of full payment for a project, LiftFlows assigns to the client all intellectual property rights in the custom deliverables created specifically for that engagement ("Work Product"), except as noted below. LiftFlows retains ownership of: • Pre-existing tools, frameworks, methodologies, and proprietary systems used in delivery • General knowledge, skills, and expertise developed during the engagement • Any open-source components, which remain subject to their respective licences LiftFlows reserves the right to reference the engagement (without disclosing confidential details) for portfolio and marketing purposes, unless the client requests otherwise in writing.
6. Confidentiality
Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the engagement ("Confidential Information"). Neither party will disclose Confidential Information to third parties without prior written consent, except as required by law. This obligation survives the termination of the engagement for a period of two (2) years.
7. Warranties and Disclaimers
LiftFlows warrants that Services will be performed with reasonable skill and care. We do not warrant that our Services will result in specific business outcomes, revenue increases, or performance improvements, as these depend on factors outside our control. Our website and services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by applicable law, LiftFlows shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or in connection with these Terms or our Services. Our total aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by you to LiftFlows in the three (3) months preceding the claim.
9. Termination
Either party may terminate an engagement by providing written notice as specified in the relevant SOW. Upon termination: • The client shall pay for all work completed up to the termination date • LiftFlows will deliver all completed work product paid for in full • Confidentiality obligations and IP assignments for paid work survive termination LiftFlows may immediately terminate access to services if a client materially breaches these Terms and fails to remedy the breach within 7 days of written notice.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, unless otherwise agreed in writing by both parties.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. We will update the "Last Updated" date at the top of this page when changes are made. Continued use of our website or services after changes constitutes acceptance of the updated Terms. Material changes affecting active client engagements will be communicated directly.
